Brief Seminar Description:   This seminar offers a general introduction of the secured lending laws in the United States.  It focuses specifically on Article 9 of the Uniform Commercial Code with regard to the transactions involving consensual security interests in personal property and fixtures.   The seminar will focus on the types of transactions covered by Article 9 and the requirements for the creation and perfection of security interests under Article 9.  This seminar will also discuss priority rules among different creditors in cases of borrowers’ default or bankruptcy.  A general understanding of Article 9 will help businesses avoid the pitfalls when engaged in any commercial loan transactions in the United States.

 

Brief description about the academic background of Prof. Leonhard

Professor Leonhard teaches UCC Article 2 (Sales), UCC Article 9 (Secured Transactions) and Federal Rules of Evidence at Loyola University New Orleans College of Law.  In addition to her teaching responsibilities, Professor Leonhard will be the Director of LL.M. Programs beginning Fall 2015.  Prior to joining the Loyola faculty, she taught commercial law at Loyola University Chicago School of Law as well as Chinese law and legal system seminars for the summer program in Beijing. She also taught commercial law at Peking University as a visiting professor from 2008 to 2009. Her scholarship focuses on examining contract law issues in cross cultural context as well as the impact of behavioral economics research on common law contract law. Professor Leonhard began her legal career with the law firm of Latham & Watkins, LLP, in its Chicago office in 1996 after having clerked for one year for the Honorable Christopher J. Armstrong of the Massachusetts Appeals Court in Boston. She joined the Chicago office of Sonnenschein, Nath & Rosenthal, LLP, in 1999 and was promoted to partner in 2006. Professor Leonhard grew up in central China and graduated from Shanghai International Studies University before moving to the United States in 1987. She received her juris doctorate degree, magna cum laude, from Boston University.
